Contracts Specialist

The Contracts Specialist is a key member of the legal team responsible to support the day -to -day activities of the contract management cycle. The Contracts Specialist is a hands-on role lending support and ensuring processes and activities of all phases of the contract lifecycle for all customer and vendor contracts. The position will work with the Contract and Procurement Manager to support services cross-functionally to Sales, Security, Product, Finance, Legal, Client Engagement and Data Services to take in, organize, and finalize contracts within the parameters of Company policies.

 

Job Responsibilities

  • Primary support in the review and negotiation of Confidentiality Agreements, MSAs, and SOWs between eMoney and client/vendors in accordance with eMoney Company’s policies and procedures
  • Facilitate the administration and tracking of client and vendor contracts 
  • Maintain Company’s contract management system, draft amendments to existing client agreements, update agreement templates, and coordinate with internal and external legal resources and stakeholders
  • Manage the timely processing of all contracts and amendments from initial request through execution
  • Collaborate with the Contract & Procurement Manager to ensure smooth management of contract system 
  • Assist in reporting of Legal KPI’s
  • Provide support for RFI and RFP processes when required
  • Understanding of contracting in support of SaaS based technology solutions, and in the pharmaceutical financial services industry, a plus
  • Review, draft, and administer contracts on behalf of Legal Department in accordance with organizational and departmental contracting policies and procedures, including drafting templates, providing redlined recommendations
  • Perform risk assessment of proposed contractual terms and conditions, and develop recommendations to minimize their potential risk to the business
  • Liaise with Company departments for the coordination of enterprise contracts to ensure completion of applicable reviews and approvals by other business leaders where required
  • Assist in the Design and implementation of a mature and robust contract lifecycle management database and process with potential support to other areas of company (e.g. Sales, Finance, etc.)
  • Execute activities relating to the signing, filing, tracking and managing completed agreements, including performing certain administrative tasks such as maintaining contract files, tracking metrics, photocopying, mailings, and scanning documents
  • Prepare and communicate appropriate summaries or other reports relating to material contract terms and conditions to applicable internal stakeholders
  • Assist in designing and implementing policies and procedures to affect the timely and accurate completion of customer and vendor contracts
  • Notify and brief leadership of potential contractual non-compliance issues that could have an adverse impact to the Company

 

Requirements

  • Bachelor’s degree or equivalent required
  • 3-5+ years contracts management experience with contract review, negotiating and drafting

 

Skills

  • Good, working knowledge of all customary office software programs
  • Possesses sound judgment and excellent communication skills which allows the job holder to interact with other stakeholders in the company
  • Independently perform a variety of sensitive tasks, requiring initiative and reliability as key skill sets.
  • Understand and organize different types of information and records
