Stock Administrator

Role Description

As the Stock Administrator at Dropbox, you will have the opportunity to administer our global equity programs while contributing to the development of a dynamic and growing team. We're looking for you to bring your previous Stock Administration experience in a Global setting, CEP credentials, and experience providing excellent customer service to equity participants at all levels as we scale to new heights.We're a highly collaborative team and you'll have an opportunity to work cross-functionally with Payroll, People Operations, Tax, and Accounting teams while helping with special projects, including compensation planning, compliance, and securities law matters. We're looking for someone with a positive outlook and a strong work ethic to ensure database integrity, and accuracy of employee equity and demographic records.


  • Processing of new equity awards and distributing online grant agreements
  • Assist in preparing and processing the vesting and release of restricted stock units and option exercises, including coordinating accurate tax withholding and reporting
  • Reconcile equity award activity among the Company's records, the broker's records, and the transfer agent on an ongoing basis
  • Assist with the preparation and administration of ESPP, 10b5-1 plans and insider trading compliance
  • Perform monthly, quarterly, and yearly reconciliation of records
  • Prepare and timely file required reporting for Section 16 officers
  • Ensure SOX compliance while working with internal and external auditors and a worldwide Finance team for quarterly reviews, year-end audits
  • Help develop materials and other employee communications, contribute ideas, and assist with educating the employee population on how the equity program works and the value to them as participants
  • Implement and improve processes for day-to-day operations related to stock administration
  • Support corporate governance and administration, including preparing corporate resolutions, administering corporate records, and executing stock transfers

  • You have 3+ years of experience in the field of equity administration (mixture private/public company)
  • CEP designation preferred
  • Experience with Solium Shareworks equity administration platform
  • You have experience with U.S. federal and state taxation relating to equity compensation and general knowledge of global taxation
  • You have knowledge of ASC718, ASC505-50, 409A and modification accounting
  • You're experienced with ESPP, forms filing and 10b5-1 trading plans
  • You have excellent analytical capabilities, organizational skills and a strong attention to detail
  • You have strong Excel skills related to formulas and modeling
