Here's what you can expect as a Senior Director, Assistant General Counsel - Compensation and Benefits at DaVita:

Provide legal advice and guidance to the Company and interface with members of the Board of Directors and senior executives on a variety of significant matters that arise in the fast-paced environment of a publicly-traded Fortune 500 healthcare company. Together with other attorneys, support the Compensation Committee of the Board of Directors and help manage matters relating primarily to executive compensation and benefits, and also support corporate governance and securities law compliance, as needed.

The following duties and responsibilities generally reflect the expectations of this position but are not intended to be all-inclusive.
  • Advise the Company and interface with the Board of Directors and senior executives on executive and director compensation and employee benefits matters including annual cash and equity incentive plan design, interpretation and administration; employment, severance and transition agreements; and issues relating to various benefits programs.
  • Manage preparation of the compensation portions of the Company's annual proxy statement and other SEC documents.
  • Work closely with external advisors as well as with the internal Finance, Human Resources, Tax and Stock Plan Administration teams to address compensation and benefits matters in the United States and internationally and implement best practices.
  • Oversight of SEC compliance, filings and reporting relating to executive compensation and benefits, including Section 16 reporting.
  • Be the subject matter expert in compensation and benefits, including providing guidance on 409A requirements and taxation as it relates to executive compensation matters, and play a leading role in providing legal advice and all other aspects of law in this area.
  • Lead for compensation and benefits related work on corporate transactions including acquisitions, dispositions, joint ventures and restructurings.
  • Support the documentation of executive compensation arrangements including employment, incentive, retention, and separation agreements.
MINIMUM QUALIFICATIONS
  • JD from an accredited law school. 8-10 years of experience.
  • Attorney admitted to practice law in California or Colorado or, alternatively, licensed in another state but eligible to practice in California or Colorado as registered in-house counsel pursuant to the requirements of the state in which the attorney will be located.
  • Minimum of eight years of overall experience, with significant directly relevant experience in-house with publicly-traded companies and/or law firm providing services to such companies.
  • Prior experience in and understanding of securities law compliance, executive compensation and benefits and corporate governance matters necessary to fulfill the essential duties and responsibilities described above.
  • General corporate transactional experience helpful, but not required.

LOCATION
  • Position is located in El Segundo, California business office or Denver, Colorado world headquarters.
  • Local candidates (Denver or El Segundo) preferred; candidates in Nashville, Tennessee and remote candidates will also be considered.

Compensation for the role will depend on a number of factors, including a candidate's qualifications, skills, competencies and experience and may fall outside of the range shown.
