Stock Plan Administrator

The Team:

The Legal team supports Datadog's rapid growth by providing a wide range of legal services across a highly dynamic technology company, from driving new business via contracts and compliance efforts, to protecting Datadog's intellectual property. Datadog's Legal team collaborates with virtually every team across the organization, from engineering to product to marketing.

The Opportunity:

Datadog is looking for a Stock Plan Administrator to manage our stock ledger and all aspects of our equity plans, including new grants, equity transactions, grant cancellations and expirations, and international subplans. The ideal candidate is a self-starter who combines strong technical and communication skills with a great attention to detail and an ability to balance competing priorities with good humor.  This position will be an important part of our Legal Operations team and will work closely with the General Counsel as well as leaders of the Finance and People Operations teams. The position is located in New York City.

You will:

  •   Maintain stock records for Datadog and all subsidiaries
  •   Maintain employee equity database using Solium Shareworks, updating information and running required and requested  summary and detail reports
  •   Maintain lists of proposed equity grant recipients and prepare lists for Board approval.
  •   Process equity grants, exercises and cancellations
  •   Notify employees of new grants and answer employee questions regarding equity plan and grants
  •   Record, and assist with documentation for, all stock transfers
  •   Maintain cap table and support responses to Board requests for information and documentation
  •   Respond to periodic inquiries from investors regarding equity holdings
  •   Assist with special projects undertaken by the Legal, Finance and People Operations teams
  •   Assist in the preparation of periodic disclosures with respect to stock plans and stock-based compensation expense
  •   Assist with external audits by providing supporting records and documentation
  •   Assist efforts to grow and scale the stock administration function, including but not limited to enhancing existing manual processes, automating processes and evaluating service providers
  •   Prepare custom reports within Excel
  •   Perform other duties and ad hoc projects and reporting as requested

Requirements:

  •      Prior experience as a paralegal, stock plan administrator, or legal assistant at a company or law firm
  •      3+ years of relevant experience in administration of equity plans
  •      Strong working knowledge of equity plans and various equity types
  •      Experience working directly with major third-party equity software systems, preferably including Solium Shareworks
  •      Demonstrated attention to detail, analytical abilities and consistent follow-through, including project management skills
  •      Ability to prioritize tasks and remain productive while balancing multiple projects
  •      Ability to function in a highly confidential environment
  •     Strong verbal, written and interpersonal communication and problem-solving skills; ability to communicate effectively with high-level executives as well as front-line employees
  •      Ability to partner with cross-functional teams
  •      Strong Excel skills
  •      Ability to identify and implement process improvements
  •      Bachelor's Degree

  •      Certified Equity Professional
  •      Able to compute stock compensation expense on a monthly basis
  •      Experience with Blue Sky compliance
  •      Experience with 409A issues
  •      Experience reviewing contracts
