VP , Corporate Counsel- Corporate Governance

Broadridge is growing. We are recruiting for a dynamic VP, Corporate Counsel to join our legal team in Lake Success, Nassau County, NY. In this role, you will assist the Associate General Counsel/Corporate Secretary in corporate securities, public company disclosure and reporting and governance matters, and you will provide legal advice and guidance to other corporate departments including the Human Resources, Corporate Finance, Investor Relations and Corporate Communications departments.

Prepare public disclosures and SEC filings and ensure compliance with SEC and NYSE rules, including Forms 10-K, 10-Q, 8-K, proxy statements, Annual Reports, registration statements, and Section 16 reports
Work closely with Corporate Secretary to prepare for Board and Committee meetings including agendas and calendar management, and manage annual meetings of stockholders
Provide counsel to the HR department regarding executive compensation matters, including offer letters, non-competition agreements, executive compensation arrangements, incentive and benefit plans, and preparation and review of materials for presentation to the Compensation Committee
Assist senior management, Investor Relations and Finance departments in preparation for quarterly earnings calls and filings including review of earnings call scripts, earnings releases, and investor presentations
Manage public securities offerings including deal structure, draft and negotiate transaction documents; and work with Treasury department to execute transactions
Legal review of internal and external corporate communications including press releases
Draft and keep current various corporate governance documents including Board corporate governance principles and Committee charters
Supervise the maintenance of the corporate books and records and Board and Committee minutes
Work with and manage outside vendors, including transfer agent, financial printer, and outside counsel

Qualifications

It is required that you are licensed to practice law and a member in good standing in New York state

A minimum of 5 years' experience as corporate, securities, governance, or transactional counsel in a top-tier law firm
Experience with executive compensation matters a plus
Strong drafting and communications skills are required
Skilled in the use of Microsoft Word, Powerpoint, Excel, and Outlook
Ability to manage multiple tasks simultaneously within strict deadlines with a high degree of accuracy
Ability to work both independently and collaboratively as a member of a team, and to strike a balance between legal and business risks and objectives
