Sr. Manager, Mergers & Acquisitions

Position Description:
The Sr. Manager will play an important role in Broadridge's high-impact M&A team, which is a key contributor to the execution of Broadridge's growth strategies. This highly visible position requires an individual with exceptional drive and energy, strong financial and analytical skills, hands-on experience with mergers and acquisitions, and highly effective communications skills.

Goals:

While success will ultimately be measured by the performance of Broadridge's acquisitions, the Sr. Manager will also be assessed on performance during the evaluation of acquisition opportunities, irrespective of whether or not Broadridge completes the transactions, and on contributions to deal tracking and various administrative and strategy project.

Responsibilities:

Evaluation of Acquisition Opportunities

Financial Analysis and Valuation

Develop the financial models that support the assessment and valuation of acquisition opportunities in collaboration with finance, sales and business unit leaders
Modeling will include creating operating plans and synergy forecasts and preparing DCF, comparable company and transaction, and accretion/(dilution) analyses
Business Case Creation and Communication

Assist with the creation of all phases of a business case (e.g., market sizing, strategic fit, financial analysis, and integration planning)
Lead the preparation of internal C-suite and Board approval presentations and follow-up analyses
Assist in the communication of the business case to all internal stakeholders, including Broadridge's executives
Process Management and Due Diligence

Coordinate the due diligence process among the acquisition target and its advisors, the M&A team, Broadridge's multi-disciplinary due diligence teams, and third-party consultants
Prepare diligence request lists and meetings agendas
Review the target's data room and other materials and ensure that the business case reflects diligence findings
Lead the creation of a client, sales and financial due diligence presentation for senior M&A and business unit leaders

Deal and Pipeline Tracking

Participate in the annual deal performance update that the M&A team uses to assess the performance of Broadridge's acquisition portfolio
Assist in the preparation of M&A memos, pipeline presentations and quarterly performance updates that the M&A team shares with the C-suite
Maintain M&A databases, including public company comparables, Broadridge trading multiples, precedent transactions, and target opportunities

Corporate Strategy Projects

Sporadically assist on Corporate Strategy projects; for example, market research, strategic planning and capital allocation analysis

Reporting: The Sr. Manager will report to the Sr. Vice President, Head of Broadridge's Mergers & Acquisitions team.

Qualifications:

2+ years of investment banking, transaction services, corporate development, or related M&A experience
Very strong academic track record (cumulative GPA above 3.5)
Committed to producing extremely high quality work, and willing to work the long hours necessary to complete acquisitions
Strong verbal and written communication skills, including comfort communicating across multiple levels

Strong competencies in financial modeling, valuation, due diligence and PowerPoint are required.

Experience: Two to three years of experience at an investment bank (with significant experience in M&A). Candidates with experience in acquisitive Corporate Development groups will also be considered. Additional experience in Corporate Development or private equity will be viewed positively, but is not required. Qualified candidates must be familiar with all elements of the acquisition process: target identification, assessment, modeling, due diligence and integration.
