Join our Team! BAE Systems Ship Repair seeks an attorney to join the Ship Repair legal department. This position is located in San Diego, California, and will be primarily responsible for legal work associated with our shipyards in San Diego and Honolulu. You will be expected to proactively advise and provide legal services in the areas of government and commercial contracting, litigation, environmental, organization and personnel, real estate, intellectual property, and other compliance matters.

The successful candidate will perform a critical role in our Ship Repair legal team and join a world class, dynamic, full-service legal environment. They will be expected to proactively advise and provide legal services on a broad range of matters relevant to a corporate legal department. The position involves working directly with in-house attorneys, internal clients, and outside counsel.

This position oversees Legal functions at our shipyards in San Diego and Honolulu to achieve objectives established by the Deputy Chief Counsel and the Ship Yard General Managers. The person who fills this position will also ensure that the business acts ethically and complies with applicable corporate and government directives, policies, regulations, and laws to protect the company against potential claims and litigation. This role also provides comprehensive and responsive subject matter expertise to Senior Management and participates as a member of the shipyard leadership team. Preferred applicants will have government contracts law experience.

Essential Duties and Responsibilities:

  • Works collaboratively and provides legal advice to shipyard leadership on a broad range of topics including government and commercial contracts, real estate, and litigation.
  • Provides advice during contract performance regarding government contract terms and conditions and applicable FAR and DFARS provisions and prepares Requests for Equitable Adjustment and claims on government contracts both with and without assistance from outside counsel.
  • Functions as liaison between management and outside legal counsel. Supervises outside counsel; manages outside counsel legal budget; oversees litigation; and plans and negotiates the disposition of disputes.
  • Manages environmental matters and works with outside environmental counsel to provide innovative legal solutions to environmental issues, and keeps management informed of environmental matters affecting the San Diego and Honolulu shipyards.
  • Drafts, reviews and/or oversees the drafting of a wide range of legal/contractual documents, including, but not limited to, government and commercial contract documents, non-disclosure agreements, leases, and purchase and sales agreements.
  • Conduct legal research and prepare legal memoranda.
  • Provides advice regarding compliance with federal and state laws and regulations applicable to doing business as a U.S. defense contractor and as the ship repair industry leader. Works as a partner with the leadership at our San Diego and Honolulu shipyards to facilitate compliance with federal and state regulations that might affect operations.
  • Ensures that the Legal function is in full compliance with all corporate and government directives, ethics, policies, regulations, and laws.
  • Conducts internal investigations, under the supervision of the Deputy Chief Counsel; partners with Ethics, Human Resources, Security, Export Control and other functions as appropriate.
  • Formulates and recommends operating policies and objectives or changes in existing policies and procedures to ensure compliance with corporate requirements, ethics, government regulations, and laws.
  • Represents the company in a broad range of contacts with federal, state, and local governments and agencies and with government interest groups.
  • Develops and presents training and courses on a variety of legal and other functional topics.
  • Develops expertise in laws and regulations that affect BAE Systems business.
  • Maintains a safe work environment and ensures compliance with safety objectives and policies.
  • Shares responsibility of self-development with Deputy Chief Counsel and Chief Counsel.

  • Typical Education & Experience
    Typically a Bachelor's Degree and 12 years work experience or equivalent experience

    Required Skills and Education
    Juris Doctorate degree and minimum 7 years experience ideally in government contracting role.

    Ability to use analytical thought process to resolve issues in a variety of complex situations, without supervision.

    Ability to communicate sensitive information and skillfully advise management on legal and related matters within a Program or Line of Business.

    Ability to negotiate and influence at all levels of organization.

    Preferred Skills and Education
    10 years experience in government contracting.

    Previous experience as in-house legal counsel.
