Associate General Counsel - Securities (Part-time)

The Associate General Counsel (Securities) will take a leading role with respect the legal aspects of Appian’s securities filings, including proxy statements, 10-K filings, Form 4 filings, as well as the lead administrator with respect to the Appian’s stock plans.   The Associate General Counsel (Securities) will be expected to manage those responsibilities independently. The Associates General Counsel (Securities) will also assist in matter related to corporate governance and preparing matters for the Appian’s Board of Directors in close cooperation with the Appian’s General Counsel.  The Associate General Counsel (Securities) will also engage with executive team members and represent the Legal Department internally and externally with respect to his or her area of responsibility.

The Associate General Counsel (Securities) position is intended as a part-time position, averaging 20-25 hours per week, with flexible hours related to the seasonal demands of the position.   This position is not a work-from-home or remote work position. Candidates will be required to work from Appian’s headquarters in the Reston area, and then in Tyson’s Corner when Appian moves in early summer 2019.

 

What Will This Job Look Like:

  • Takes leading role in the preparation of SEC filings (e.g. Forms 10-K, 10-Q, 8-K, Section 16 and proxy statements)
  • Provides advice and counsel to ensure compliance with SEC regulations and stock exchange requirements.
  • Counsels managers on complex legal matters related to the company's compliance with securities laws, Sarbanes-Oxley, and Exchange requirements
  • Interacts with outside counsel, other legal personnel, technical experts, paralegals, Corporate staff, support staff and business unit representatives
  • Oversees compliance with state, local and foreign governance requirements
  • Assist with training initiatives
  • Provides support to the Board of Directors as directed by the General Counsel

 

Required Qualifications:

  • Juris Doctorate (JD) from a top-tier law school and actively licensed to practice
  • 5+ years legal experience in either a top-tier law firm or publicly-traded corporation working on matters of securities law and corporate governance.
  • Must be detail-oriented, analytical, and adept at solving complex legal problems.
  • Strong oral and written communication skills.
  • Strategic thinking skills evidenced by the ability to develop strategies that reduce potential areas of legal risk while furthering business objectives.
